Acceptance of Terms

By accessing and using the Contexta (the "Service"), you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, do not use this service.

These terms constitute a legally binding agreement between you (either as an individual or on behalf of your organization) and Contexta Services Ltd (the "Provider", company number 16971692, registered in England and Wales). Continued use of the Service indicates ongoing acceptance of these terms.

Who Can Use This Service: You must be at least 18 years old and have the authority to enter into binding contracts. If using on behalf of a company, you represent that you have authority to bind that company to these terms.

Service Description

What We Provide

Contexta is an AI-powered requirements extraction service that analyzes bid documents, RFPs, and technical specifications to extract requirements across 10 categories:

  • NFR (Non-Functional Requirements) - Performance, scalability, reliability
  • FR (Functional Requirements) - Features and capabilities
  • BR (Business Requirements) - Business goals and objectives
  • TR (Technical Requirements) - Technology stack and infrastructure
  • CR (Compliance Requirements) - Regulatory and legal compliance
  • OR (Operational Requirements) - Operations and maintenance
  • UR (User Requirements) - User needs and workflows
  • SR (Security Requirements) - Security controls and measures
  • DR (Disaster Recovery Requirements) - Backup and recovery
  • MR (Migration Requirements) - Data migration and cutover

Service Availability

We aim for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance windows will be communicated in advance. The Service may be temporarily unavailable due to Azure infrastructure issues beyond our control.

User Responsibilities

When using the Service, you agree to:

Account Security

  • Provide accurate account information (name, email, company)
  • Keep your password secure and confidential
  • Not share account credentials with others
  • Notify us immediately of any unauthorized access

Acceptable Use

  • Use the Service for legitimate business purposes only
  • Not upload malicious content (malware, viruses, exploits)
  • Not upload illegal content (copyrighted material without permission, classified documents)
  • Not attempt to reverse engineer, hack, or exploit the Service
  • Not use automated tools to scrape or abuse the Service

Compliance

  • Use the Service in compliance with all applicable laws (GDPR, data protection regulations)
  • Ensure you have rights to upload and process the documents you submit
  • Not use the Service to violate intellectual property rights
Prohibited Content: Do not upload documents containing personal data of individuals without proper legal basis. Do not upload classified government documents or materials subject to export control.

AI Accuracy Disclaimer

AI-extracted requirements are provided for assistance purposes only. While we strive for high accuracy using state-of-the-art AI models, the Service may:

  • Miss requirements that are implied but not explicitly stated
  • Misinterpret vague or ambiguous language in source documents
  • Assign incorrect confidence scores or requirement types
  • Fail to detect all gaps in requirement coverage
  • Produce incorrect cost estimates or infrastructure sizing
Critical Disclaimer: We do not guarantee 100% accuracy of AI extractions. You are solely responsible for reviewing and verifying all extracted requirements before use in:
  • Bid proposals or RFP responses
  • Contract negotiations
  • Project planning and estimation
  • Technical architecture decisions
  • Cost commitments to clients

Human Review Required

Requirements extraction is a human-AI collaboration. The AI does the heavy lifting of reading documents and identifying requirements. Human experts must review, verify, and approve all extracted requirements before they are used in production systems or contractual commitments.

No Warranty

The Service is provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of accuracy, completeness, reliability, fitness for a particular purpose, or non-infringement.

Payment Terms

Subscription Pricing

Price: 149 GBP per user per month

Subscription includes:

  • Unlimited projects and analyses
  • All 10 requirement types extracted
  • Gap detection and iterative improvement
  • Cost estimation and export features
  • Image analysis for diagrams
  • Email support with 48-hour response SLA

Billing

  • Fees are billed monthly in advance on your subscription anniversary date
  • Payment is due at the start of each billing period
  • Accepted payment methods: Credit card, bank transfer (for annual subscriptions)
  • All prices exclude VAT (added at checkout if applicable)

Late Payment

Failure to pay within 7 days of due date may result in:

  • Service suspension (read-only access, no new analyses)
  • Account termination after 30 days of non-payment
  • Late payment fees of 5% per month on outstanding balance

Money-Back Guarantee

30-day money-back guarantee applies to first month only. If the Service does not meet your requirements extraction needs, contact us within 30 days of signup for a full refund, no questions asked.

Refunds after the first month are at our sole discretion and typically limited to pro-rata refunds for service outages exceeding 24 hours.

Price Changes

We reserve the right to change subscription pricing with 30 days advance notice. Existing customers will be grandfathered at current pricing for 12 months from the date of change.

Termination

Termination by You

You may cancel your subscription at any time by providing 30 days written notice via email. Cancellation takes effect at the end of your current billing period. No refunds for partial months.

Termination by Us

We may suspend or terminate your account immediately if you:

  • Violate these Terms of Service
  • Fail to pay fees within 30 days of due date
  • Upload illegal or malicious content
  • Attempt to hack or exploit the Service
  • Engage in fraudulent activity

Data Retention After Termination

Upon termination, you have 90 days to export your data:

  • Download all uploaded documents from Projects page
  • Export all requirements to CSV
  • Export cost estimates and reports

After 90 days, all data may be permanently deleted from our systems. Backups are retained for 30 days for disaster recovery, then purged.

Export Your Data: We are not responsible for data loss if you fail to export within 90 days. Plan your data export before canceling to avoid losing project history.

Limitation of Liability

Service Provided As-Is

The Service is provided "as is" without warranties of any kind, either express or implied, including but not limited to:

  • Accuracy of AI-extracted requirements
  • Completeness of gap detection
  • Correctness of cost estimates
  • Availability or uptime guarantees
  • Fitness for any particular purpose

Limitation of Damages

To the maximum extent permitted by law, we are not liable for any damages arising from use or inability to use the Service, including but not limited to:

  • Lost profits or missed business opportunities
  • Incorrect requirement extraction leading to failed bids
  • Cost overruns due to inaccurate estimates
  • Data loss or corruption
  • Third-party claims or lawsuits

Maximum Liability: Our total liability to you for all claims arising from or related to the Service shall not exceed the total amount paid by you in the 12 months preceding the claim.

Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

  • Your violation of these Terms of Service
  • Your use of the Service for illegal purposes
  • Your infringement of third-party intellectual property rights
  • Uploading of content you did not have rights to process
Professional Liability Insurance: We maintain professional liability insurance covering errors and omissions up to 1 million GBP. However, this does not override the limitation of liability above.

Governing Law

These Terms of Service are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Changes to Terms

We reserve the right to update these Terms of Service. Material changes will be communicated via email with 30 days notice before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the new terms.
